Xonbay Terms of Service

The rules governing buyers, sellers, visitors, storefronts, orders and use of Xonbay services.

Section 1

Introduction and acceptance

When these Terms apply and how users accept them.

These Terms of Service govern access to and use of Xonbay’s websites, applications, marketplace, seller storefront tools, checkout experiences and related services. By creating an account, opening a store, placing an order or otherwise using Xonbay, you agree to these Terms and the Privacy Policy.

Section 2

Xonbay’s role

How Xonbay supports transactions between buyers and independent sellers.

Xonbay provides technology that allows businesses to create storefronts, list products or services, receive orders and interact with buyers. Xonbay may also provide marketplace discovery, payment integrations, messaging, promotion and fulfilment-related tools.

Unless Xonbay is expressly identified as the seller of record for a specific item, the relevant merchant is responsible for the product, pricing, stock, quality, legality, delivery, returns, warranties and customer service for that transaction.

Section 3

Eligibility and accounts

  1. You must provide accurate registration information.
  2. You are responsible for activity performed through your account.
  3. You must protect your password, verification codes and other credentials.
  4. Business users must have authority to act for the business they register.
  5. You must notify Xonbay promptly when you suspect unauthorised access.

Age requirements

Set a final minimum age after legal review. Users who cannot form a binding agreement should use Xonbay only with a parent, guardian or authorised representative where permitted by law.

Section 4

Seller responsibilities

  1. Provide truthful business, product, price, stock and delivery information.
  2. Only offer lawful products and services that the seller is authorised to sell.
  3. Maintain required licences, permits, tax registrations and approvals.
  4. Fulfil accepted orders within the times communicated to buyers.
  5. Handle returns, refunds, warranties and complaints according to applicable law and disclosed policies.
  6. Protect buyer information and use it only for legitimate order and customer-service purposes.
  7. Avoid misleading claims, fake reviews, counterfeit goods and manipulation of marketplace activity.

Buyer responsibilities

  1. Provide accurate contact, payment and delivery information.
  2. Review product details, seller terms and delivery information before ordering.
  3. Pay valid charges associated with confirmed purchases.
  4. Do not place fraudulent, abusive or intentionally uncollectable orders.
  5. Communicate respectfully with sellers and support teams.
Section 6

Orders, prices and payments

An order request may require seller confirmation. Displaying an item does not guarantee availability. Prices, taxes, delivery charges and payment fees should be shown during checkout where applicable.

Payments may be processed by third-party payment providers. Xonbay may receive transaction status information but should not request users’ mobile-money PINs, card PINs or banking passwords.

Electronic agreements

Ghana’s Electronic Transactions Act recognises agreements formed wholly or partly through electronic means. Keep clear records of checkout acceptance, seller confirmations and policy versions.

Section 7

Fees and paid services

Xonbay may provide free and paid services. Optional transaction, payment, messaging, delivery, advertising, subscription or premium-feature fees may apply. Applicable charges should be presented before activation or use.

Xonbay may change future pricing by giving reasonable notice. Changes do not retroactively alter completed charges unless required to correct an error or comply with law.

Section 8

Prohibited use

  1. Fraud, impersonation, phishing or unauthorised account access.
  2. Illegal, counterfeit, stolen, unsafe or prohibited products.
  3. Malware, scraping that disrupts the service or attempts to bypass security.
  4. Harassment, hateful conduct, threats or unlawful discrimination.
  5. Manipulating reviews, orders, search results, promotions or referral systems.
  6. Using personal data obtained through Xonbay for unrelated marketing without a valid legal basis.
Section 9

Content and intellectual property

Users retain ownership of content they submit. They grant Xonbay a non-exclusive, worldwide licence to host, reproduce, format and display that content as needed to operate, secure, promote and improve the service.

Users must have rights to all names, logos, photographs, videos, descriptions and other content they upload. Xonbay may remove content that appears unlawful, infringing, misleading or harmful.

Section 10

Suspension and termination

Xonbay may restrict, suspend or terminate access when reasonably necessary to address fraud, security threats, legal obligations, unpaid fees, repeated policy violations or risk to buyers, sellers or the platform.

Where appropriate, Xonbay may provide notice and an opportunity to appeal. Immediate action may be taken when delay could cause harm or violate law.

Section 11

Disclaimers and liability

The service is provided subject to availability. To the extent permitted by law, Xonbay does not guarantee uninterrupted access, seller performance, product quality, delivery timing or that every listing is accurate.

Legal review required

Liability caps, warranty exclusions and consumer-rights language must be drafted for Xonbay’s actual jurisdiction, corporate structure and insurance arrangements.

Section 12

Governing law and disputes

These Terms should specify Ghanaian law and the chosen dispute-resolution process after review by Ghana-qualified counsel. Mandatory consumer rights and court jurisdiction rules may still apply.
